Terms of Service

Welcome to Lead Forge AI. These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "user," or "customer") and Developers World LLC("we," "us," or "our"), concerning your access to and use of the Lead Forge AI application, website, B2B lead generation tools, APIs, and automated outreach services (collectively, the "Services").

By accessing or using our Services, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services, and you must discontinue use immediately.

1. Eligibility and Account Registration

• Business Use Only: Lead Forge AI is a business-to-business (B2B) platform. By creating an account, you represent and warrant that you are accessing the Services solely for professional, legitimate business purposes and not as a consumer.
• Account Security: You must provide accurate, current, and complete information during registration. You are entirely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• Unauthorized Access: You agree to notify us immediately at Info@developersworld.io of any unauthorized use of your account or security breaches.
• Mandatory Registration Click-Wrap: When you create an account or submit payment details on Lead Forge AI, you must affirmatively check an unchecked box stating: "I agree to the Terms of Service and Privacy Policy." You cannot complete signup or checkout until this box is checked. A footer link alone is not a substitute for this agreement.

2. Subscriptions, Fees, and Payment

• Billing Cycles: Access to certain features of the Services requires a paid subscription. Subscriptions are billed on a recurring basis (monthly or annually) depending on the plan selected.
• Payment and Taxes: You authorize us to charge your designated payment method for all applicable fees, including any applicable transaction taxes. All payments are non-refundable except as expressly stated otherwise or required by law.
• Cancellation: You may cancel your subscription at any time through your platform dashboard account settings. Cancellation will take effect at the end of your current billing period, and you will retain access until then.
• Fee Changes:We reserve the right to modify our pricing tiers upon thirty (30) days' notice. Continued use of the Services after a fee change takes effect constitutes agreement to the new pricing.

3. Permissible Use and Prohibited Activities

You are granted a non-exclusive, non-transferable, revocable license to access Lead Forge AI in compliance with these Terms. You explicitly agree not to:

• Reverse Engineer: Copy, modify, decompile, or reverse engineer any part of the application source code, user interface, or proprietary scoring algorithms.
• Platform Abuse: Exploit, stress-test, or bypass data throttling metrics on our search databases, email verification engines, or APIs.
• Data Reselling: Extract data systematically (scraping or mining) from Lead Forge AI to build a competing database or resell raw contact data to third parties without explicit enterprise licensing agreements.
• Automated Malice: Deploy malicious bots, scripts, or automated software that interacts with the platform in an unauthorized manner.

4. B2B Outreach and Compliance Mandates

Lead Forge AI provides communication tools and data enrichment for professional sales prospecting. However, you remain the sole Data Controller of any outbound campaigns executed via our platform.

By utilizing our automated email infrastructure, you represent, warrant, and covenant that:

• Legal Compliance: You will strictly comply with all relevant international outreach regulations, including but not limited to the CAN-SPAM Act (US), Telephone Consumer Protection Act (TCPA), GDPR (Europe), CASL (Canada), and local consumer protection laws.
• Unsubscribe Obligations:Every electronic message sent through Lead Forge AI must feature a clear, conspicuous, and fully functioning opt-out/unsubscribe mechanism. You must honor opt-out requests within the statutory timeframe mandated by your target's jurisdiction.
• Prohibited Messaging: You will not utilize the platform to transmit spam, fraudulent schemes, phishing attempts, defamatory text, or explicit adult content.
• Indemnification: You agree to indemnify and hold harmless Developers World LLC against any legal claims, regulatory fines, or damages stemming from your violations of anti-spam laws.
• Spam Threshold Automation: To protect network liability under this Section 4, Lead Forge AI monitors bounce and spam complaint rates. If your campaign activity triggers a spam complaint rate higher than 0.1% or a bounce rate above 5%, we may automate a temporary account pause to prevent damage to outbound infrastructure. We may also suspend or terminate accounts that harm network reputation (e.g., triggering excessive spam complaints).

5. Intellectual Property Rights

• Our Property: Developers World LLC retains all right, title, and interest in and to Lead Forge AI, including all software, logos, trademarks, data schemas, visual designs, and intellectual property.
• Your Data:You retain ownership of all original data, lead lists, and custom campaign copy uploaded by you to the system ("Customer Data"). You grant us a limited, secure license to process Customer Data solely to deliver the Services to you, optimize email deliverability, and ensure system uptime.

6. Limitation of Liability and Disclaimer of Warranties

• "As-Is" Service:The Services are provided on an "AS-IS" and "AS-AVAILABLE" basis. We make no guarantees regarding data completeness, accuracy, email inbox placement rates, or conversion outcomes.
• Data Disclaimer: B2B contact data changes rapidly. While we use advanced data verification practices, we do not warrant that every phone number, email address, or corporate profile is 100% precise or current.
• Liability Cap: To the maximum extent permitted by law, Developers World LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, or business data). In no event shall our total aggregate liability exceed the total amount paid by you to us for the specific services during the twelve (12) months preceding the claim.

7. Termination of Service

• By You: You may stop using our platform and terminate your account at any time.
• By Us: We reserve the right to suspend or terminate your account immediately, without prior notice or liability, if you violate these Terms, engage in behavior that harms our network reputation (e.g., triggering excessive spam complaints), or fail to clear subscription dues.

8. Governing Law and Dispute Resolution

• Jurisdiction: These Terms and your relationship with Lead Forge AI shall be governed by, and construed in accordance with, the laws of the State of Florida, USA, without regard to conflict of law principles.
• Arbitration Agreement: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be settled by binding arbitration in Fort Lauderdale, Florida, administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

9. Modifications to Terms

We reserve the right to amend these Terms at our discretion. We will notify you of any material changes by posting the updated version inside the Lead Forge AI user dashboard or via email. Your continued use of the platform after the update constitutes binding acceptance of the new terms.
